48 The Education University of Hong Kong Annual Report 2019-2020 Governance Report 校董會通常在每個學術年度舉行四次會議，若有需 要，則會安排額外的會議。為加強與教職員及學生的 溝通，不屬機密類別的校董會文件及經確認的會議 紀錄，會經本校內聯網公佈。 校董會成員透過出席校董會、校董會轄下各常設委員 會和臨時工作小組的會議，以及參加本校眾多不同的 活動，參與本校事務。因此，二零一九至二零財政 年度，各校董會成員出席校董會及其轄下常設委員會 會議的出席率，並不能全面反映各成員參與本校事務 的實際情況，因有部分校董會成員或須出席，或參與 本校其他活動和事務而缺席有關會議。 為切合監管條例的發展及配合疫情需要，校董會於 二零二零年四月通過成員以電子方式參與校董會或常 設委員會會議，將視作出席該等會議，並計入法定及 表決人數。 二零一九至二零年度校董會成員出席會議紀錄及各 人的簡介分別列於 附錄一 及 附錄二 。 二零一九至二零年度內，校董會成員或其轄下委員 會成員，並沒有與本校或其附屬機構簽訂提供服務或 貨品的重要合約，或涉及其中任何直接或間接的重大 利益。 The Council usually holds four meetings in an academic year. If necessary, additional meetings may be scheduled. To enhance communications with staff and students, Council papers and confirmed Council minutes which are classified as non- confidential are posted on the University’s intranet. Council Members are involved in the University’s affairs through meetings of the Council, Council Committees and ad hoc working groups, and participation in the University’s many activities and functions. Hence, the information of individual Members about their attendance at meetings of the Council and its standing Committees during the financial year 2019-20 does not fully reflect their involvement in the University’s affairs, as some Members may have been absent from meetings to represent the University in other functions. With a view to keeping abreast of the regulatory developments and in light of the pandemic outbreak, the Council approved in April 2020 that attendance at Council and Standing Committee meetings through electronic means would be taken as full attendance for quorum and voting purposes. The attendance record of Council Members in 2019-20 and their biographies are set out in Appendix I and Appendix II respectively. In 2019-20, there was no contract of significance for the provision of services or goods to the University or the subsidiary of the University in which a Council Member or Committee member is or was materially interested, either directly or indirectly.
